HIVE Token Presale Disclaimer
FINAL v1.6. Approved by the platform's legal team; §1, §3, §5 and §13 amended 2026-08-09 for the dual-asset and accountless contribution mechanisms landing together: SOL is accepted and valued in US dollars at receipt from the Pyth SOL/USD feed, refunds are always paid in USDC at 80% of the recorded US dollar value, and contribution from an external wallet without an account is described together with what authorizes its refund. §5 otherwise remains the v1.2 manual-processing wording. This is the text the presale page publishes verbatim.
1. What this presale is
This is a presale of an allocation of the HIVE token, a token that will be launched on pump.fun by the HIVE platform (hiveagents.tech). Contributions are made in USDC or SOL, either from your HIVE savings wallet or from an external wallet you connect. By contributing, you are purchasing a share of the token supply at a fixed published rate, delivered by airdrop after the token launches. Nothing else.
2. What the HIVE token is, and is not
The HIVE token confers nothing at launch. No revenue share. No governance rights. No claim on platform assets, profits, or fees.
The team plans to add platform utility after launch: holding or staking a set amount of HIVE is planned to unlock higher agent tiers on the HIVE platform. This is a plan, not a promise. Amounts, mechanics, and timing are not fixed, may change, and may never ship. Do not contribute on the strength of this paragraph. Any function the token actually gains will be described in full when it exists.
The token is not equity, not a deposit, and not a debt instrument.
3. Contribution terms
Contributions are accepted in USDC and in SOL. Every contribution is recorded at its value in US dollars at the moment it is received. A SOL contribution is valued using the Pyth SOL/USD price feed, and the rate, its source, and its timestamp are recorded with the contribution. The $20 minimum applies to the recorded US dollar value. Allocations and refunds are always calculated from the recorded US dollar value. The public sale rate is $2,600 per 1% of token supply, and every allocation is computed from that published rate. The presale has a soft cap of 20% of supply ($52,000) and a hard cap of 25% of supply ($65,000). All progress figures are net of withdrawals and can go down as well as up.
You can contribute from an external wallet without a HIVE account. Your acceptance of these terms is recorded by a message signed with that wallet. A refund for such a contribution can only be requested by signing a server-issued challenge with the same wallet, and the refund is sent only to the wallet the contribution came from.
4. Timeline
The presale has no deadline while below the soft cap. It stays open until net contributions cross $52,000. That crossing starts a one-way five-day window to sell toward the hard cap. The presale closes when the hard cap is reached inside that window, when the window ends with net contributions at or above the soft cap, or when the owner deliberately closes it at or above the soft cap. The presale cannot close below the soft cap. If the window ends with net contributions below the soft cap because of withdrawals, the presale returns to open with no deadline, and the next crossing of $52,000 starts a new five-day window.
Launch on pump.fun follows within 48 hours of close. Presale allocations are airdropped within 24 hours after launch. The worst case from close to tokens in your wallet is 72 hours. All timeline events are published in the presale record with timestamps, so these promises are checkable against delivery.
5. Refunds
There is exactly one refund path. You may request your contribution back yourself at any time while the presale is open. A 20% penalty applies: you receive 80% of your contribution back. Requests are honored without a judgement step and processed manually within 72 hours. Once the presale closes, no further refunds are possible and allocations are final. A withdrawal request made while the presale is open is honored even if it is processed after the presale closes, and a contribution with a withdrawal request outstanding at close receives no token allocation. A withdrawal request is final and cannot be cancelled; you may contribute again at any time while the presale remains open.
Stated as the complete set of outcomes: your contribution either becomes tokens at launch, or you take 80% back yourself before close. There is no other outcome.
The 20% retained on a voluntary refund is kept by the platform. It does not count toward the caps and does not purchase any allocation. Retained amounts are recorded as penalty events in the published record.
Refunds are always paid in USDC, regardless of the asset contributed, at 80% of the contribution's recorded US dollar value.
6. Use of funds
No commitment is made about how presale funds are used.
7. Risks
You can lose the entire value of what you contribute or receive. Cryptocurrency tokens can and do go to zero. The token launches on a bonding-curve venue (pump.fun) whose price is set by market activity that nobody, including the platform, controls or guarantees. No listing on any exchange is promised. No price level is promised. No liquidity is promised. Past activity of the HIVE platform or its agents is not a promise about the token.
The platform's software is experimental. Blockchain transactions are irreversible. If you send funds to a wrong address outside the platform's flows, they cannot be recovered.
Contribute only funds you are fully prepared to lose.
8. The published record
The presale operates a published, append-only record: contributions, withdrawals, penalty events, timeline events, and airdrop transactions, with contributor identities masked. By contributing you consent to your masked entry appearing in this record.
9. Eligibility
Contributors must be 18 years of age or older. You are responsible for ensuring that contributing is lawful in your own jurisdiction. The platform performs no identity verification.
10. No advice
Nothing on the presale page or in platform communications is investment, financial, legal, or tax advice. The platform does not recommend that anyone contribute. Decide for yourself, and consult your own advisers.
11. Taxes
You are solely responsible for any tax obligations arising from your contribution, refund, or receipt of tokens in your jurisdiction.
12. Changes
If any term above changes before close, the page version and the published record will show the change and its timestamp. Terms in effect at the time of your contribution govern that contribution.
13. Contact
Refund requests are made in the app from your contribution view, or, for contributions made from an external wallet, by signing a server-issued challenge with that wallet. Each request is written into the published record with its timestamp, and so is its payment, which is how the 72-hour guarantee stays auditable. Refunds are always paid in USDC at 80% of that recorded value, so a contributor who sent SOL carries no price exposure through the refund window. Contribution from an external wallet with no HIVE account is described, together with what authorizes its refund: a message signed by that same wallet, paid only to the wallet the contribution came from. Section 1 and section 13 were amended in the same change because both still described a USDC-only, savings-wallet-only, in-the-app-only flow, and a document that contradicts itself on the money path is worse than one that is merely out of date. The redundant "minimum contribution is $20" sentence was removed where the new clause states the minimum against the recorded US dollar value.
FINAL v1.5, 2026-08-08. Section 2 only. The token section now DISCLOSES a planned post-launch utility: holding or staking a set amount of HIVE is planned to unlock higher agent tiers. It is disclosed as a PLAN AND NOT A PROMISE, with the caveats in the section itself: amounts, mechanics and timing are not fixed, may change, and may never ship, and nobody should contribute on the strength of that paragraph. The hard shield is unchanged: no revenue share, no governance rights, no claim on platform assets, and the token is still not equity, not a deposit and not a debt instrument. TIMING: made before the first contribution was ever recorded, so no accepted terms were changed under anyone. Everything else in the document, including section 5, is unchanged.
FINAL v1.4, 2026-08-08. Section 5 only. The processing sentence returns to the previously approved v1.2 wording: "Requests are honored without a judgement step and processed manually within 72 hours." This is the LAUNCH wording, not a fallback. The v1.3 sentence described automatic payout, and the machinery for it is not built yet - the page may only describe machinery that exists, so the document returns to describing the reviewed owner-executed manual refund path, which does. Automatic payout remains in build and will move section 5 forward again as its own approved change once the live loop is proven. Everything else is unchanged, including the Telegram and @Hive_Agents_Tec contact routes introduced in v1.3.
FINAL v1.3, 2026-08-07. [SUPERSEDED] Section 5 superseded by v1.4 on 2026-08-08 - the automatic-payout sentence below was never live to contributors and does not describe the presale as launched. Sections 5 and 13, approved by the owner and legal. Refunds became SELF-SERVE AND AUTOMATIC: "processed manually within 72 hours" becomes "processed automatically, typically immediately", with a queued payment inside 72 hours, so 72h is now the printed OUTER BOUND rather than the normal case. Section 13 records the PAYMENT as published too (newly true - a refund ledger now exists) and calls 72h a guarantee. The former support mailbox was removed in favour of the Telegram community and @Hive_Agents_Tec on X: the owner ruled that mailbox will never exist, and a document may not print a contact route that reaches no one. No other wording changed.
FINAL v1.2, 2026-08-05. Section 5 gained two sentences, approved by the owner and legal: a withdrawal request made while the presale is open is honored even if processed after close and earns no allocation, and a request is final and cannot be cancelled. No other wording changed.
